End User License Agreement
License terms for using Workbase software
This End User License Agreement (“EULA”) applies to software, applications, components, APIs, scripts, documentation, and related materials made available by Workbase, unless a separate agreement applies.
License Grant
Subject to the applicable agreement and payment of any required fees, Workbase grants you a limited, non-exclusive, non-transferable, revocable right to access and use the software for your internal business purposes. No ownership rights are transferred.
Restrictions
You must not:
- Copy, modify, adapt, translate, or create derivative works except as expressly permitted.
- Reverse engineer, decompile, disassemble, or attempt to discover source code except where mandatory law allows it.
- Remove proprietary notices, trademarks, or attribution.
- Sublicense, rent, lease, sell, resell, or provide the software to third parties.
- Use the software to build or train a competing product through unauthorized copying or extraction.
- Bypass license keys, technical limits, security controls, or access restrictions.
- Use the software unlawfully or in a way that harms Workbase, customers, or third parties.
Updates
Workbase may provide updates, patches, fixes, or new versions. Updates may be required for security, compatibility, or continued service operation. This EULA applies to updates unless separate terms are provided.
Cloud Services
Some software functions depend on Workbase-hosted services, APIs, infrastructure, or third-party providers. Availability may depend on network connectivity, account status, plan limits, third-party systems, and maintenance.
Customer Data
Customer data processed through the software remains subject to the applicable service agreement, Privacy Policy, and Data Processing Addendum where relevant. You are responsible for the legality, accuracy, and permissions for any data you process through the software.
Open Source
The software may include open-source components. Those components are licensed under their respective open-source licenses. If there is a conflict between this EULA and an applicable open-source license for a component, the open-source license controls for that component.
Intellectual Property
Workbase and its licensors retain all rights, title, and interest in the software, documentation, design, trademarks, and related intellectual property. Feedback may be used by Workbase without restriction or obligation.
Termination
This license ends when your agreement or subscription ends, when you stop being authorized by your organization, or if you breach this EULA. Upon termination, you must stop using the software and delete any copies where applicable.
Disclaimer
The software is provided “as is” and “as available” unless expressly stated otherwise in a written agreement. Workbase disclaims implied warranties to the maximum extent permitted by law.
Liability
Workbase’s liability for the software is limited as set out in the applicable agreement and mandatory law. Workbase is not liable for indirect, consequential, special, incidental, or punitive damages to the maximum extent permitted by law.
