Terms of Service

Terms for using Workbase products and services

These Terms of Service govern access to and use of Workbase websites, software, APIs, integrations, documentation, and related services. By creating an account, using the services, or accepting an order form, you agree to these terms on behalf of yourself or the organization you represent.

Parties And Scope

The services are provided by Workbase Platforms sp. z o.o. (“Workbase”, “we”, “us”). “Customer” means the organization or business user that uses the services. These terms apply unless a separate signed agreement, order form, or product-specific term states otherwise.

Business Use

Workbase is designed for business use. You represent that you are using the services for business or professional purposes and that you have authority to bind the organization you represent.

Accounts

You must provide accurate account information, keep credentials secure, maintain appropriate access controls, and promptly notify us of unauthorized access. You are responsible for activity under your account and for the users, systems, and integrations you authorize.

Services

Workbase may include workspace tools, AI-assisted workflows, data organization, CRM and communication integrations, automation, analytics, APIs, and related functionality. We may improve, modify, or discontinue features over time. Material reductions to paid core functionality will be handled in accordance with the applicable agreement.

Customer Data

Customer retains ownership of customer data. You grant Workbase the rights necessary to host, process, transmit, display, and use customer data to provide, secure, support, and improve the services. You are responsible for ensuring that customer data is lawful, accurate, and permitted for processing in Workbase.

Acceptable Use

You must not:

  • Use the services for unlawful, harmful, deceptive, abusive, or infringing activity.
  • Upload malware, attempt unauthorized access, or interfere with service integrity.
  • Reverse engineer, scrape, overload, benchmark publicly, or bypass technical limits unless allowed by law or written permission.
  • Use the services to send spam, unlawful outreach, or communications without required rights or legal basis.
  • Sell, sublicense, or make the services available to third parties except as permitted by your agreement.
  • Use the services to build a competing product through unauthorized copying or extraction.

Compliance

You are responsible for complying with laws that apply to your use of Workbase, including privacy, electronic communications, employment, export control, sanctions, consumer protection, and industry-specific requirements. Workbase may suspend or restrict access where needed to protect the service, customers, third parties, or legal compliance.

Integrations

If you connect third-party services, you authorize Workbase to access and process data from those services according to the permissions you grant. Third-party services are governed by their own terms and privacy policies. Workbase is not responsible for third-party systems, API changes, outages, or data practices.

Fees And Payment

Fees, billing cycles, usage limits, taxes, payment methods, and renewal terms are set out in the applicable plan, checkout flow, order form, or invoice. Fees are non-refundable except where required by law or expressly stated in writing. Late payment may result in suspension, interest, collection costs, or termination.

Trials, Beta Features, And Previews

Trials, beta features, previews, and experimental functionality are provided as-is and may be changed, limited, suspended, or discontinued at any time. They may be subject to additional terms or restrictions.

Intellectual Property

Workbase retains all rights in the services, software, designs, documentation, trademarks, and related materials. Except for the limited right to use the services under these terms, no rights are transferred to you. Feedback may be used by Workbase without restriction or obligation.

Confidentiality

Each party may receive confidential information from the other. Confidential information must be protected with reasonable care and used only for the purposes of the relationship. These obligations do not apply to information that is public, already known, independently developed, or lawfully received from a third party.

Data Protection

The processing of personal data is described in our Privacy Policy and, where applicable, the Data Processing Addendum. You are responsible for providing required notices, obtaining required rights or consents, and configuring the services in a compliant way.

Suspension And Termination

Either party may terminate according to the applicable agreement. We may suspend access immediately if there is a security risk, unlawful use, payment default, violation of these terms, or risk to the service or third parties. After termination, access to the services may end and customer data may be deleted after applicable retention periods.

Disclaimers

Except as expressly stated in a written agreement, the services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation to the maximum extent permitted by law.

Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, punitive, or similar damages, including lost profits, lost revenue, data loss, or business interruption. Any aggregate liability is limited to the amounts paid or payable for the services during the twelve months before the event giving rise to the claim, unless mandatory law or a signed agreement requires otherwise.

Changes

We may update these terms from time to time. If changes materially affect paid services, we will provide reasonable notice where required. Continued use after the effective date means acceptance of the updated terms.

Governing Law

Unless a separate agreement states otherwise, these terms are governed by the law applicable to Workbase Platforms sp. z o.o., excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
